MDML Technologies — Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Customer," "you") and MDML Technologies LLC, a Florida limited liability company ("MDML," "we," "us"). By creating an account, subscribing, or using any MDML service, you accept these Terms.
If you don't agree, don't use the service.
1. Service
MDML provides hosted website templates, AI-assisted scrape-and-render workflows, and related infrastructure (the "Service"). The Service includes a monthly subscription (Starter, Growth, or Pro) and an optional one-time setup fee.
2. Eligibility
You represent that you are at least 18 years old, have the legal capacity to contract, and (if signing up on behalf of a business) have authority to bind that business.
3. Billing & Auto-Renewal
- Subscriptions renew automatically at the price in effect on your renewal date.
- The one-time setup fee is non-refundable to the extent permitted by Florida law.
- Monthly subscription fees are non-refundable for the current billing period, except where required by law. You may cancel at any time via the billing portal; cancellation stops future renewals, not the current period.
- Overage charges (bandwidth, function invocations) are billed automatically based on metered usage.
- Failed payments place your subscription in a 72-hour grace period. After grace, your site is paused until you update payment.
4. Your Content & Your Responsibility
Anything you upload, scrape, or publish through MDML ("Your Content") remains your property. You grant MDML a worldwide, royalty-free license to host, copy, and display Your Content only as needed to operate the Service.
You are solely responsible for the legality, accuracy, and rights to Your Content. You represent and warrant that:
- Your Content does not infringe any third party's intellectual property, publicity, or privacy rights.
- Your business (and any goods/services you market on the site) is legal in your jurisdiction and complies with all applicable laws (federal, state, and local), including consumer-protection, advertising, professional-licensing, and industry-specific regulations.
- You will not use the Service to host content that is unlawful, defamatory, harassing, deceptive, or violates any applicable law including but not limited to FTC truth-in-advertising rules, CAN-SPAM, TCPA, HIPAA, or state consumer-protection statutes.
- You have all necessary licenses, permits, and registrations to operate your business in any jurisdiction you serve.
5. Acceptable Use
You will not (and will not permit any third party to):
- Use the Service for any illegal purpose or in violation of any law.
- Upload malware, viruses, or any harmful code.
- Attempt to access another customer's data, account, or environment.
- Scrape or reverse-engineer the MDML platform itself.
- Use the Service to send unsolicited commercial messages (spam) in violation of CAN-SPAM, TCPA, or any equivalent law.
- Misrepresent your identity, your business, or your relationship with MDML.
Violation of this section is grounds for immediate suspension or termination with no refund.
6. Indemnification
You agree to defend, indemnify, and hold harmless MDML Technologies LLC, its members, officers, employees, contractors, and sales agents from any and all claims, damages, losses, liabilities, settlements, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of any law or third-party rights; or (e) any claim that Your Content or your business operations caused harm to any third party.
This indemnification survives termination of these Terms.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. MDML DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT YOUR SITE WILL ACHIEVE ANY PARTICULAR RANK, TRAFFIC, OR REVENUE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDML'S TOTAL CUMULATIVE LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL AMOUNT YOU PAID MDML IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
MDML WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Termination
You may terminate at any time via the billing portal. MDML may suspend or terminate your account immediately for: (a) non-payment beyond the grace period; (b) violation of these Terms; (c) any conduct that exposes MDML to legal risk; or (d) abuse of MDML staff or systems.
On termination, your subscription ends at the end of the current paid period and your site is archived. You may export Your Content for 30 days after termination.
10. Privacy
Your data is handled per our Privacy Policy, available at /privacy. By accepting these Terms you also accept the Privacy Policy.
11. Governing Law & Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Flagler County, Florida, and you consent to that jurisdiction.
Each party waives any right to a jury trial.
12. Changes to Terms
MDML may update these Terms at any time. Material changes will be announced via email or the dashboard at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
